经中华人民共和国文化部的正式批准和甲乙双方友好协商，本着诚实信用、互惠互利原则，双方就俄罗斯皇家芭蕾舞剧团来华巡回演出《天鹅湖》的演出（下称：演出）予以协商并达成如下协议，双方遵守执行：
By the official approve of The Ministry of
Culture of the People’s Republic of China, the parties hereto,
through amicable consultation, on the principles of good faith and
mutual benefit, consult upon the performance of Russian Royal
Ballet to tour performance of SWAN LAKE in China
(hereinafter referred to as performance).
NOW THEREFORE THIS CONTRACT WITNESS
that it is hereby agreed by and between the parties hereto as
follows for the implementation
一: 演出剧目、地点、期间及演职员人数
PLAY OF PERFORMANCE, THE PERIOD, CITIES OF
TOUR AND NUBBER OF ACTORS/ACTRESS
1、演出剧目：芭蕾舞剧《天鹅湖》(参见：附件一：剧情介绍；附件二：主要演员及演出方案)
The play: Ballet of Swan& Lake ( Reference to
Annex 1. Introduction of Play
&and Annex 2. Main
Players and Performance Scheme)
2、演出期间：2012年10月15日至2013年1月30日
The period of tour: From 15th
October 2012 to 30th January 2013
3、演出地点：上海、天津、合肥、南京和深圳，共五个城市，共安排30个演出场次。
The Cities of tour: Five cities including
Shanghai, Tianjing, Hefei, Nanking and Shenzhen and with the total
of 30 performances being planned in the scheme.
4、乙方来华演出的演职员人数：共65人（附件三：乙方来华名单）
The number of crew of party B to
China: Total 65 persons ( Reference to Annex 3. The Roll of Party
B’s Crew)
二、乙方报酬、费用及税费
Party B’s Remuneration, Fees
1、乙方每场演出报酬为5万元人民币或等值美元。
The remuneration of party B’s each
performance shall be RMB 50,000 (RMB Fifty Thousand only in word
)or the equivalent in US Dollar.
2、其他费用：Other& Fees or
乙方在中国境外的签证费、国际旅行费和道具运输费等费用由乙方自行承担；自到达首站上海起，在中国境内旅行、道具运输和食宿的相关费用由甲方承担。离境旅行费用（终点站：莫斯科）各承担一半。
The fees or charges, beyond the border of
China, such as visa fee, international travel fee and prop
transportation cost shall be the expense of party B itself.
All expenses whatsoever in respect of
or in relation to party B’s travel, props transport and
accommodation in China, commencing upon the arriving at the first
stop of Shanghai, shall be borne by party A. The departure travel
fee of party B shall be undertaken at half to half by both parties
hereto. The terminus of party B’s departure travel shall be

Taxes: Each party shall, in accordance
with the provisions of People’s Republic of China Tax Law, pay the
taxes which relating to its incomes respectively. The other fees or
charges paid to local authorities shall be borne by party
4、本合同签订后十天内甲方向乙方提交壹万美元的银行保函。乙方收到本合同规定的银行保函后，正式开展组团前往中国巡回演出的前期筹备工作。
Party A shall, within ten (10) days upon
the signature of this contract, submit a bank guarantee of US
Dollar 10,000 (Say Ten Thousand only US Dollar) to party B and
party B shall, upon receipt of the bank guarantee stipulated
herein, commence the preliminary preparation of grouping for tour
performance in China.
.三、甲方的责任和权益& The Responsibility
And Rights Of Party A
1、甲方协助乙方办理签证和出入境手续，负责办理当地演出活动的批准手续，并在演出日期的10个工作日前，向乙方提交全部演出筹备工作手续的文件副本供参阅备存。
Party A shall use his best
endeavors to assist party B to effect the procedures of visa and
entry / exit, is liable to take the permission of performance by
local administrative authority and shall, prior 10 working days of
the performance, make available party B with all documents relating
to the preparatory procedures of performance for reference and
2、甲方负责接待乙方全体演职人员的中国境内演出期间的旅行、食宿和当地交通并承担相应费用。
Party A shall take responsibility for
reception and preparation of the travel, accommodation and local
traffic of party B’s all cast and crew and bear the cost
therewith.
3、甲方可在演出城市举行演出前新闻发布会一次，应预先向乙方以书面提供新闻发布会的策划内容。乙方安排2-3名主要演员出席新闻发布会。
Party A may, prior to the performance at
local city, have a press conference, provided that if the planning
contents of press conference should be provided in writing prior to
party B. Two or three leading actor of party B shall attend the
press conference.
4、，演出剧场租金由甲方承担。
The theatre rent shall be borne by party
5、每场结束后次日甲方按照上述第二条第1款向乙方支付前一场次的演出报酬。
Party A shall, at the morrow day after
each performance of party B, pay the remuneration of previous
performance to party B pursuant to clause (1) 2 as
aforesaid.
6、每场演出收入除按照上述第二条第1款支付乙方费用外，其余归甲方所有。
The remain sum from each performance
income shall, excepting the payment paid to party B pursuant to
clause (1)2 as aforesaid, belong to party A.
7、由甲方负责演出的门票和节目单印制。海报宣传广告、门票广告、场地的广告收入由甲方所有。甲方印制的宣传物品的内容在提交乙方确认后制作。企业商业赞助的税后收益由双方平分。
The printing of ticket and program of
performance shall be liable for party A. The revenue arising out of
the advertisements of poster, ticket and theater belong to party A.
The contents printed on the propaganda of performance shall be
subject to party B’s recognized prior to printing. The amount of
income arising out of the enterprise commercial sponsor shall be,
after payment of tax under law, divided equally by the parties
8、&在演出期间，除经双方书面核准的机构或人士外，甲方不得允许其它任何人摄录相关的影音资料。如若需要为拍摄演出内容的影像宣传资料，应当经过双方商定拍摄内容。
None of any other persons would be allowed
by party A, in the period of performance to make video or music
record of performance, except to such institution or person as
being permitted by mutual written approval of the parties
hereto, if and to the extent that the purpose of such shoot or
record is the necessary for propaganda, should be subject to
consultation of parties hereto.
&9、在演出前的彩排和正式演出的现场，提供保安人员维护演职人员的安全，并维持良好的治安管理环境。现场应有医疗急救人员一名。
Party A should, at the scene of dress
rehearsal and due performance, dispatch guards for the maintenance
the on-site security of staff and manage a good order of site, in
addition to one doctor for emergency medical service
10、甲方必须保证演出期间剧场电源正常，如果发生停电并导致演出中断或者无法演出，甲方依然应按照上述第二条第1款规定支付乙方的报酬。如果因停电或者剧场原因无法演出，在不影响下一个演出场次时间安排的前提下，双方可以协商另行安排演出时间。
Party A must ensure the electrical power
supply, in the period of performance, is normal. If and whenever,
the power cut occur and give rise to the interrupt of performance
or unable to performance, party A should still pay the
remuneration, in accordance with the stipulation of Paragraph 1
Article 2 hereof above. In the event of the failure of performance
due to power cut or the reason of theater, parties hereto may,
subject to the premise of no influence to next performance, make
the consultation of the another arrangement of performance
.四、乙方的责任和权益& The Responsibility
And Rights Of Party B
1、乙方全体演职人员必须于2012年10月13日之前到达演出的首站上海。
All actors and staff of party B must, on
or before 13th October 2012, arrive at Shanghai, the
first city of performance tour.
2、乙方应当按双方议定的节目单内容高质量地完成演出，保证按照剧情介绍和演出方案演出全部内容；演出内容、演出规模、舞美设计等内容如若需要修改，乙方应在演出的20天之前，以提供书面材料与甲方商讨研究。未经甲方同意不得改变附件规定的演出方案。
Party B shall be under the obligation to
accomplish, with high quality, the performance in accordance with
the program agreed upon by parties hereto and make show of all the
content of the play by which to comply with the play introduction
and show scheme. In the event of any modification of content, scale
and choreography in relation to the performance, party B should,
prior 20 days of performance, provide written documents to party A
for consultation and if, without prior content of party A, no
modification of show scheme shall be taken by party B.
3、保证以下主要演职人员必须参加每场演出：
Party B shall guarantee the following
principal cast must attend each show:

4、确保演职人员遵照本合同的规定。所有演职人员在演出开始前按照预定时间到达演出现场并认真完成演出前的各项准备。
Party B should ensure its performers and
staff comply with the requirements of this contract. All performers
and staff shall, as the scheduled time prior commencing
performance, arrived the theater and make preparations of
performance in earnest.
.5、乙方自行负责的现场专业灯光音响设备的控制和高级专业技术人员的配备，甲方可以提供辅助技术人员和工人协助工作，但不承担相关责任。
Party B shall, by itself, be responsible
for the control and management of the equipments on-site such as
professional lighting and audio and so on, and party A could
provide party B with auxiliary technical assistors and labors,
provided that bear any liability therefore.
6、除本合同约定的新闻发布会外，乙方有权拒绝参加不在本合同约定内的应酬或商业活动，如有需要,则另行议定相关商业活动的合作文件。
Except insofar as News Conference provided
in this contract, party B is entitle to refuse to take part in
social or commercial activities and others beyond the agreements
stipulated in this contract, for which if necessary, the
cooperative documents on relating commercial activities could be
agreed between the parties hereto.
7、乙方自行保管带入中国的全部演出器材设备和自用的其它高价值物品，甲方协助办理进出境海关手续。
All and any equipments and materials for
the performance and other high value items for own use being
brought into China by party B should be kept by party B itself, and
for which party A could provide assistance to clear Customs for
entering and exiting.
&8、在演出期间，应注意防止发生意外事故，注意爱护剧场财物和清洁卫生。如果乙方演职人员损坏剧场的设备或物品，应照价赔偿。
Party B should, within the period of
performance, be careful for prevention of accidents and take good
care of theatre properties and maintain clean thereat. Where the
damage of equipment or other material of theatre due to the
reason of mistake or fault on the part of
party B, by which should make compensation, according to the
original price, the material damaged.
五、甲方向乙方演出人员提供的旅行和食宿接待标准
The reception standard of travel and
board/lodging provide to party B by party A
1、甲方负责向乙方演出人员提供中国境内由出发地点往返演出地点的飞机、长途大巴或火车旅费
,如飞机，提供商务舱&10&张，其它人员经济舱，往返时间由甲方确定后提前通知乙方准备。&往返演出城市的道具运输费用由甲方承担。
在演出城市当地提供两辆40座左右的带空调豪华大巴和一辆行李车，一辆道具车。
Party A is liable to provide party B with
the round-travel expenses of, within the boundaries of China,
airplane, long-distance bus and/or train. If airplane, 10 tickets
for commercial cabin and others for economic cabin, the time of
round-travel shall be noticed to party B, upon party A’s
determination of the same, for making the corresponding
preparation. The expenses of carriage of the properties for
performance, the round-travel of the cities in which the show being
on, shall be undertaken by party A.
Party A shall, in the city of performance,
provide party B with two luxury busses with 40 seats and
air-condition, one truck for luggage, one truck for properties of
performance.
2、甲方负责提供乙方演职人员标准不低于三星级的酒店下榻。商务套间十间，其余为标准双人间，其中包括房间的服务费用（不含国际长话费）。
为乙方提供中西式早餐、中餐和晚餐，每人每天餐饮标准不低于150元人民币。
The standard of hotel provided to party B
stay at shall not less than the same of three-star, with ten
commercial departments, others as the standard room for tow
persons. The service fee is included among expenses of lodging
provided that without long-distance telephone.
The provision of breakfast, lunch and
dinner to party B, with styles of both Chinese and western, the
meal standard for each person per day shall not be less than such
as by 150 Yuan RBM.
3、在演出现场,甲方为乙方演出人员准备点心餐，其中包括水果、咖啡、矿泉水、热水、汉堡、三明治和面包等。
Party A shall, at the performing theatre,
prepare the dessert meal for performers of party B, including
fruit, coffee, mineral water, hot water, Hamburg, sandwich and
bread and so on.
四、演出剧场条件及要求& The conditions and
requirements of performing theater
1、演出场地租赁及使用安排由甲方负责，场地规格、设施和安全条件必须符合双方的约定。
The lease and using arrangement of
performing theater shall be liable for party A, of which the
standard, facilities and safety condition should comply with the
agreement by parties hereto.
2、&甲方安排工人十名协助乙方在演出场地布置灯光音响和背景，舞台搭建等事项。工人由甲方代为雇用，由乙方按照当地标准支付工人劳务报酬。
Party A shall dispatch ten workers to
assist party B with the layout of lighting background and setting
up of stage at the theater and so on, to which party A shall employ
and party B shall, in accordance with the standard of local
worker’s payment, pay remuneration.
3、场地条件
The conditions of performance
舞台安排不少于6根景杆，其中天排后3根，至少有3根边幕（黑或深绿色），可升降电动吊杆。
On the stage no less six (6) root poles
there are, of which three(3) poles at the back curtain, and at lest
three(3) poles at side curtain, which black or dark green and the
electric lifting steeve.
舞台两侧各3排侧光，一排顶光、面光及工作灯。所有灯光应加换色或可加色纸，色号为：深蓝、浅蓝、橘黄和红黄。后台不少于4间化妆间及2间主演员化妆间，均带空调设施，3组挂衣竿。
Three(3) side lights along both side
curtains, a row of top lights, surface light and working lights,
all of which shall be added or change the chromo papers, of which
the color symbols are dark blue, light blue, orange and red yellow.
More than four (4) dressing rooms for actress/ actors in addition
to two (2) main actress/actor rooms on the back stage ,with
air&_ conditioning and three(3) groups of clothes

5、演出过程中，有6名中方工作人员及相关专业技术人员协助更换背景和其它辅助工作，由乙方按照当地标准支付劳务报酬。
Six (6) Chinese professional or technical
personnel shall, in the period of performance, be dispatched to
assist the replacing of background and other ancillary works, to
which party B shall, in accordance with the local service standard,
pay the remuneration.
6、演出当天由甲方负责安排2名英语或俄语翻译到场协助交流。
Party A shall, on the day of performance, dispatch two interpreters
of English or Russian for the assistance of communication at the
甲方协助乙方向中国人民保险公司购买来华人员的临时保险，投保的标准为；意外伤亡保险：美金20万元，临时医疗保险美金5万元，由乙方承担保险费用。保险有效期从演职人员进入中国境内至离开中国国境。
Party A shall assist party B to effect the
insurance of all persons coming to China against accidental
casualty with the insurance compensation of USD
200，000(USD two hundred thousand only in
word）and temporary
health insurance with the insurance compensation of USD
50，000 (USD fifty
thousand only in word ）from China People’s Insurance Company, the valid term of
insurance shall be from entry until exit of China, to which party B
make the payment of premium.
六、违约责任
The liabilities of
1、若甲方发生违反合同规定导致无法演出时，乙方将按照上述第一条第2款的规定的金额的65%收取报酬。
Should the performance is unable to be
carried out by reason of party A’s breach or default, party B shall
be paid the remuneration at the rate of 65% of the amount pursuant
to the stipulation of Clause 1(2) hereof.
2、如若甲方未按照上述第一条第2款的规定向乙方支付报酬，每延迟一天须向乙方支付违约金壹万元（10，000元整）人民币或等值美元。
Party A should, where fail to pay the
remuneration to party B pursuant to the clause 1 (2) as above, pay
the penalty of breach to party B at the rate of RMB 10,000 ( RMB
Ten thousand only in word) per day or equal value of US
3、如若乙方未能在上述第四条第1款规定的日期到达上海，每延迟一天须向甲方支付违约金壹万元人民币或等值美元。
Party B should, in the event of failure of
arriving in Shanghai, pay the penalty of breach to party A at the
rate of RMB 10,000 ( RMB Ten thousand only in word) per day or
equal value of US dollar.
&4、如若乙方严重违反本合同规定并导致不能按时演出，或者主要演员拒绝参加演出，甲方有权拒绝支付乙方任何费用，包括食宿费用、交通费用等，并要求乙方支付场租全款并按已销售票房额的100%向甲方支付损失赔偿。
Party A shall, provided that if party B’s
serious failure lead to the performance cannot being carried out on
time, or main actor refuse to participate in performance, be
entitle to take a refusal to pay party B any payment, including the
same of accommodation, travel and so on, and shall require party B
pay all rent of theater in addition to party A’s damages at 100% of
sold ticket amount.
Party B shall not, for any reason, delay the performance
time, shorten playing time and reduce the content of performance,
if breach of which, party A isas the case may be, entitle to deduct
appropriate part of the remuneration relating the said
performance.
七、不可抗力
如果合同一方由于不可抗力因素而不能履行合同，比如地震、台风、洪水、火灾、战争及其他无法预见的事件，其发生和后果也无法阻止、无法避免的，该方应立刻以电报通知对方，并在其后十五天内提交公证机关出具的详细的事件描述及有效文件，用以解释其无法履行合同全部或部分条款的原因。双方应通过协商，根据事件对履行合同的影响程度，确定是终止合同或是免除履行合同的责任，或延长合同的履行。
Should either of the parties to the
contract be prevented from executing the contract by force majeure,
such as earthquake, typhoon, flood, fire and war and other
unforeseen events and their happening and consequences are
unpreventable and unavoidable, the prevented party shall , by
cable, notify the other party without any delay, and shall , within
15 days thereafter, provide the detailed information of the events
and a valid document for evidence issued by the relevant public
notary organization for explaining the reason of its inability to
execute or delay the execution of all or part of the contract. The
parties to the contract shall, through consultations, in accordance
with the effects of the events on the performance of the contract,
decide whether to terminate the contract or to exempt the part of
obligations for implementation of the contract or whether to delay
the execution of the contract.
Confidentiality
合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。
Within the validity period of Contract,
both parties shall take proper measures to keep the materials or
information strictly confidential. Any party shall not disclose or
divulge to any third party without prior written consent of other
九、争议解决
Settlement of
凡因执行本合同所发上的或与合同有关的一切争议，双方应友好协商解决。如果协商不能解决应提交中国国际经济贸易仲裁委员会，根据该委员会的有关仲裁程序暂行规则在中国进行仲裁的、仲裁裁决是终局的，对双方都有约束力。仲裁费用除另有裁决外由败诉一方承担。
ARBITRATION: All disputes in connection
with the contract or the execution thereof, shall be settled
amicable by negotiation. In case no settlement can be reached, the
case under dispute may then be submitted to the China International
Economic and Trade Arbitration Commission for arbitration. The
arbitration shall take place in China and shall be executed in
accordance with the provisional rules of Procedure of the said
Commission and the decision made by the Commission shall be
accepted as final binding upon both parties for setting the
dispute. The fees, for arbitration shall be borne by the losing
party unless otherwise awarded.
十、适用法律
Applicable
本合同的订立、生效、解释、履行及与本合同有关的争议解决，均受中国法律管辖。

effectiveness，
interpretation and performance
of this contract and the settlement of disputes in connection with
this contract shall be governed by the laws of
十一、文本与份数
Language and
1、IN WITNESS WHEREOF, the parties have executed this
Contract in duplicate by their duly authorized representatives on
the date first above written.　
双方授权代表于上面首次写明的日期正式签订本协议一式两份。
2、This Contract shall be written in English in four
copies. Each party shall keep two copies.
