你局《关于在中国（上海）自由贸易试验区探索密切中外律师事务所业务合作方式和机制试点工作方案的请示》（沪司[号）收悉。经研究，同意你局上报的《关于在中国（上海）自由贸易试验区探索密切中外律师事务所业务合作方式和机制试点工作方案》，请你局适时启动开放措施试点工作，抓紧制定配套实施措施，严格、规范实行各项开放政策，切实做好试点工作的指导、监督和服务工作，协调有关部门对试点提供政策支持和工作便利，及时调研解决试点出现的新情况新问题，定期评估试点进展情况，不断提高试点指导管理工作的针对性、有效性，确保试点工作健康、平稳、有序推进，为密切中外律师事务所业务合作方式和机制积累创造经验。
你局推进试点工作的情况及遇到的问题请及时报部。

探索密切中外律师事务所业务合作方式
和机制试点工作方案
根据国务院批准的《中国（上海）自由贸易试验区总体方案》及其附件《中国（上海）自由贸易试验区服务业扩大开放措施》，经研究，现就在中国（上海）自由贸易试验区（以下简称&上海自贸区&）开展&探索密切中国律师事务所与外国（港澳台地区）律师事务所业务合作的方式和机制&提出如下试点工作方案：
一、指导思想和原则
根据国务院批准的上海自贸区总体方案及其服务业扩大开放措施的部署，参照中国内地对港澳法律服务业开放合作的方法，在上海自贸区先行先试，探索密切中外律师事务所业务合作的方式和机制，以提升中外律师业相互开放与合作水平，提升中国律师业的服务和竞争能力，建设与上海自贸区发展需求相适应的法律服务体系。试点工作应遵循稳妥、渐进、可控的原则，试点措施应与中国国情及律师业发展水平相适应，探索形成科学、有效的开放指导、监督和服务工作机制，为逐步扩大深化中外律师业的开放合作积累经验。
二、试点措施
（一）允许在上海自贸区设立代表处的外国律师事务所与中国律师事务所以协作方式，相互派驻律师担任法律顾问。即由中国律师事务所向外国律师事务所代表处派驻中国执业律师担任中国法律顾问，由外国律师事务所向中国律师事务所派驻外国律师担任外国法律顾问，在各自执业范围、权限内以分工协作方式开展业务合作。
（二）允许外国律师事务所与中国律师事务所在上海自贸区内实行联营。即由已在中国设立代表处的外国律师事务所与中国律师事务所，按照协议约定的权利和义务，在上海自贸区内实行联营，以分工协作方式，向中外客户分别提供涉及外国和中国法律适用的法律服务。联营期间，双方的法律地位、名称和财务保持独立，各自独立承担民事责任。
（三）关于港澳区律师事务所适用问题。允许已在内地设立代表处的港澳律师事务所参与前述试点工作。
三、试点配套措施
（一）制定相关扶持政策措施，引导、鼓励外国（港澳）律师事务所采取变更（代表处）住所地或增设代表处的方式在上海自贸区内设立分支机构，鼓励有实力的国内律师事务所在上海自贸区设立分所。
（二）缩减行政审批时限，拟在试点启动后，公开承诺将外国（港澳）律师事务所申请在上海自贸区设立代表处、派驻（变更）代表等事项的初审时限由法定的三个月缩减为30个工作日，将国内律师事务所申请在上海自贸区设立分所、派驻（变更）律师等事项的审批期限由法定的30个工作日减为10个工作日。
（三）根据《中国（上海）自由贸易试验区管理办法》规定，自贸区管委会作为上海市政府的派出机构，根据相关部门委托，承担相应行政管理职能。考虑到法律服务特别是对外开放管理的特殊性，我局拟争取市政府同意，由我局在自贸区内设立派出机构，对开放试点承担相应的行政监管职能，并协调自贸区管委会，为参与试点的外国（港澳）律师事务所及派驻律师在开业、居留、办公（居住）场所等方面提供便利。
四、试点组织实施
（一）根据国务院上海自贸区部际联席会议精神和上海市政府确定的实施工作计划，有关法律服务业开放的试点措施应当在今年年底前基本完成方案报批和配套实施措施的制定，于日起公布实施。建请司法部能于年内加快审查批准我局上报的试点工作方案。
（二）根据司法部批准的方案，我局拟抓紧制定出台指引开展试点的操作细则及相关配套措施并公布实施。
（三）我局在启动试点后，将按照司法部批准的方案，遵循稳妥、渐进、可控的原则，采取分期分批推进、逐步扩展深化的方式，认真组织实施密切中外律师业合作的试点措施，确保试点工作健康、平稳、有序推进。
