4.& & & & Affiliates.&&Recipient agrees that it shall not convey or disclose any Confidential Information obtained from DWS to any Affiliate unless such Affiliate agrees to be bound by the terms of this Agreement.&&For purposes of this Agreement, an “Affiliate” shall mean, as to any entity, any other entity which is controlled by, controls, or is under common control with such entity.&&The term “control” (including the terms “controlled”, “controlled by” and “under common control with”) shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of an entity.&&Recipient agrees that it shall be responsible for any disclosure of Confidential Information by its Affiliates or Representatives that would constitute a breach of this Agreement.
5.& & & & Return of Confidential Information.&&Upon request, Recipient agrees to return or destroy all Confidential Information and all documents and things connected with or related to such information which is in Recipient’s possession or in the possession of any of its Representatives, without retaining any copies.&&
6.& & & & Information Shared by R&&No Compensation for Use.&&If and to the extent Recipient discloses information to DWS, Recipient understands and agrees that any information disclosed by Recipient shall not be considered confidential and may be used or disclosed by DWS or any of its Affiliates without compensation, liability or other obligation to Recipient.&&
7.& & & & New or Joint Ideas.&&Any information, ideas, concepts or plans which may be conceived or developed during or as a result of discussions and meetings between DWS and Recipient shall be the sole property of DWS without further consideration or compensation, and Recipient hereby assigns to DWS all rights with respect thereto (including, without limitation, all patent rights, copyrights and other attendant rights).&&Recipient acknowledges that DWS shall have the right (but not the obligation) to use and exploit such information, ideas, concepts or plans in any manner determined by DWS in its discretion.&&Notwithstanding the above, Recipient reserves all of its rights under all of its patents and copyrights as they exist currently.&&
8.& & & & Public Announcements.&&Recipient shall not disclose the existence of or specific details of communication between the parties which are the subject of or related to this Agreement, or issue any press release or other public announcement regarding the existence of such communications between the parties without the prior written consent of DWS, which consent DWS may withhold in its sole and absolute discretion.
9.& & & & Disney Name.&&Recipient shall acquire no right under this Agreement to use, and shall not use, the name “Walt Disney World” or the name “Disney” (either alone or in conjunction with or as part of any other word or name) or any fanciful characters, designs, trademarks, tradenames or copyrighted works of DWS or any of its Affiliates: (a) in any of its advertising, publicity, (b) to express or imply any endorsement by DWS of Recipient’ or (c) in any other manner whatsoever (whether or not similar to uses prohibited by (a) and (b) of this Section 9).&&The provisions of this Section shall survive termination or expiration of this Agreement or any determination that this Agreement or any portion of this Agreement is void or voidable.&&
10.& & & & Disclosures to Governmental Entities.&&If Recipient becomes legally obligated to disclose Confidential Information by any governmental entity with jurisdiction over it, Recipient will give DWS prompt written notice prior to any disclosure sufficient to allow DWS to seek a protective order or other appropriate remedy.&&Recipient will disclose only such information as is legally required and will use commercially reasonable efforts to obtain confidential treatment for any Confidential Information that is so disclosed.
11.& & & & S Termination. Either party may terminate this Agreement at any time by providing thirty (30) days written notic provided, however, that if no such notice is given, this Agreement shall expire three (3) years from the date hereof.&&Any information not previously disclosed while this Agreement is in effect and disclosed after termination of this Agreement is not subject to the terms of this Agreement.&&Notwithstanding the date on which this Agreement expires or terminates, all of the terms and provisions of this Agreement shall remain in force and effect with respect to any Confidential Information that was disclosed during the term hereof for a period of three (3) years from the date of such expiration or termination.
12.& & & & Limited Relationship.&&This Agreement will not create a joint venture, partnership or other formal business relationship or entity of any kind, or any obligation to form any such relationship or entity.&&Each party will act as an independent contractor and not as an agent of the other party for any purpose, and neither will have the authority to bind the other.
13.& & & & Amendment and Waiver.& &This Agreement may not be modified, supplemented or amended orally, but only by a writing signed by both parties hereto.&&No failure or delay by either party in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege hereunder.
14.& & & & No Representation.&&Each of DWS and Recipient understands and acknowledges that neither party hereto nor any person furnishing information on behalf of such party has made or hereby makes any representation or warranty, expressed or implied, as to the accuracy or completeness of any information referred to herein and shall have no liability to the other party hereto or to any other person or entity resulting from such other party’s permitted use of such information.
15.& & & & Non-Binding Discussions.& &Except with respect to the terms and provisions of this Agreement, unless and until a final and binding written agreement is executed and delivered by both parties, submission of any information by one party to the other, along with any conduct on behalf of, or correspondence between, the parties in connection with potential business dealings, is intended only to facilitate non-binding discussions, and either party shall have the absolute right to withdraw from such discussions at any time and for any or no reason without any obligation to compensate the other party for time or services provided in connection with their discussion or any other liability whatsoever to the other party.
16.& & & & Remedies.&&Recipient acknowledges and agrees that any breach or violation of this Agreement may be difficult to calculate in pecuniary damages, therefore DWS may avail itself of injunctive relief, specific performance or other equitable relief under this Agreement, and such remedies shall be cumulative of and in addition to, any other remedies available at law or in equity.
17.& & & & Governing Law.&&This Agreement shall be governed by the laws of the State of Florida. Venue for any legal action authorized hereunder shall be in Orange County, Florida, and jurisdiction shall be vested exclusively in the Circuit Court of the Ninth Judicial Circuit in and for Orange County, Florida, or, if appropriate, in the federal district court for the Middle District of Florida, Orlando Division. THE PARTIES ALSO HEREBY WAIVE TRIAL BY JURY WITH RESPECT TO ANY SUCH ACTION OR PROCEEDING.
18.& & & & Binding Effect.&&The covenants, terms, conditions, provisions and undertakings in this Agreement shall extend to and be binding upon the heirs, personal representatives, executors, administrators and permitted successors and assigns of the respective parties hereto.
19.& & & & Entire Agreement.&&This Agreement constitutes the entire agreement of the parties hereto with respect to the subject matter of this Agreement and supersedes any and all previous agreements between the parties hereto, whether written or oral, with respect to such subject matter.&&The language in all parts of this Agreement shall, in all cases, be construed as a whole and in accordance with its fair meaning and any ambiguities shall not be resolved against the drafting party.
20.& & & & Counterparts.& &This Agreement may be executed in separate counterparts, each of which shall be deemed an original, and all of such counterparts together shall constitute one and the same instrument.&&This Agreement shall be deemed validly delivered, and effective for all purposes, upon exchanging fully executed facsimile transmission copies of the Agreement.
